AMENDMENT NO. 2, dated as of May 19, 2008 (the “Amendment”), to the Deposit Agreement, dated as of 16 July 2004 (such Deposit Agreement as previously amended and as amended from time to time, the “Deposit Agreement”), by and among Mechel Open Joint Stock Company (the “Company”) , Deutsche Bank Trust Company Americas (the “Depositary”), and all Holders and Beneficial Owners from time to time of Receipts representing American Depositary Share(s) issued thereunder.
