This Registration Rights Agreement (this "Agreement") is made and entered into as of May 22, 2008, by and among Forest Oil Corporation, a New York corporation (the "Company"), Forest Oil Permian Corporation, a Delaware corporation (the "Guarantor") and Banc of America Securities LLC, BNP Paribas Securities Corp., Credit Suisse Securities (USA) LLC, Deutsche Bank Securities Inc., J.P. Morgan Securities Inc., TD Securities (USA) LLC, Scotia Capital (USA) Inc. and Wells Fargo Securities, LLC (collectively, the "Initial Purchasers"), who have agreed to purchase the Company's 7.25% Senior Notes due 2019 (the "Initial Notes") fully and unconditionally guaranteed by the Guarantor (the "Guarantee") pursuant to the Purchase Agreement (as defined below). The Initial Notes and the Guarantee are herein collectively referred to as the "Initial Securities."
