This AGREEMENT is dated November 30, 2008 by and between Rohinton Mobed ("Mobed"), and IHS Inc., a Delaware corporation formerly known as IHS Group Inc. its predecessors, former, current and future affiliates, subsidiaries, successors, and assigns (the "Company").
This Amendment is dated December 22, 2008 by and between Rohinton Mobed ("Mobed") and IHS Inc. (the "Company").IHS Inc. • January 23rd, 2009 • Services-computer programming, data processing, etc.
WHEREAS, Mobed and the Company entered into an Agreement dated November 30, 2008, which was amended by an Amendment dated December 9, 2008 (the Agreement, as amended by the December 9 Amendment, is hereinafter referred to as "Original Agreement") in connection with the termination of Mobed's employment with the Company; and
This Amendment is dated December 9, 2008 by and between Rohinton Mobed ("Mobed") and IHS Inc. (the "Company").IHS Inc. • January 23rd, 2009 • Services-computer programming, data processing, etc.
WHEREAS, Mobed and the Company entered into an Agreement dated November 30, 2008 (the "Original Agreement") in connection with the termination of Mobed's employment with the Company; and

This Agreement of Substitution and Amendment is entered into as of January 20, 2009, by and between IHS, Inc., a Delaware corporation (the "Company") and American Stock Transfer and Trust Company, LLC ("AST").
