This EMPLOYMENT AGREEMENT (this "Agreement") is made and entered into effective as of , 2008 (the "Effective Date") by and among CARDIONET, INC. (the "Company") and MARTIN P. GALVAN (the "Executive"). The Company and Executive are hereinafter collectively referred to as the "Parties", and individually referred to as a "Party". This Agreement supersedes all prior and contemporaneous oral or written employment agreements or arrangements between Executive and the Company.
