This SECURITY AGREEMENT (this “Agreement”), dated as of March 20, 2009, among the Grantors listed on the signature pages hereof and those additional entities that hereafter become parties hereto by executing the form of Supplement attached hereto as Annex 1 (collectively, jointly and severally, the “Grantors” and each, individually, a “Grantor”), and CENTURION CREDIT FUNDING LLC (together with its successors and assigns, the “Secured Party”).

This Pledge Agreement (“Agreement”), dated March 20, 2009, is made by Evergreen Operations, LLC a Delaware limited liability company (“Pledgor”) in favor of Centurion Credit Funding LLC (“Secured Party”).

This NOTE PURCHASE AGREEMENT, dated as of March 20, 2009 (this “Agreement”), is by and among EVERGREEN ENERGY INC., a Delaware corporation (“Evergreen”), EVERGREEN OPERATIONS, LLC, a Delaware limited liability company (“Evergreen Op”) and BUCKEYE INDUSTRIAL MINING CO., an Ohio corporation (“Buckeye,” together with Evergreen and Evergreen Op, the “Companies” and each individually referred to as a “Company”) and CENTURION CREDIT FUNDING LLC, a Delaware limited liability company (the “Investor”).
