This OMNIBUS AGREEMENT (this “Agreement”), is entered into as of , 2009, by and between Genco Shipping & Trading Limited, a Marshall Islands corporation (“Genco”) and Baltic Trading Limited, a Marshall Islands corporation (“Baltic”). The foregoing shall be referred to individually as a “Party” and collectively as the “Parties.” Certain capitalized terms have the meanings assigned to them in Article I hereof.
