This RESTRICTED STOCK UNIT AND CASH AWARD AGREEMENT (this "Agreement") is made as of the day of , (the "Date of Grant"), between MTR Gaming Group, Inc. a Delaware corporation (the "Company"), and (the "Participant"). The Restricted Stock Units hereunder are granted pursuant to the terms of the Company's 2010 Long Term Incentive Plan (the "Plan").
