This employment agreement (this “Agreement”) is entered into this 2nd day of March 2011 (the “Effective Date”), by and among Manhattan Bancorp (“MB”) and Bank of Manhattan, N.A. (“the Bank”) (collectively referred to as “the Company”) on the one hand, and Shannon Millard (“Employee”) on the other hand, on the terms and conditions set forth herein.
