This Manufacturing and Supply Agreement (this “Agreement”), dated as of February 1, 2012 (the “Effective Date”), is hereby entered into by and between Lantheus Medical Imaging, Inc., a corporation organized and existing under the laws of Delaware with its principal place of business at 331 Treble Cove Road, North Billerica, MA 01862 (“LMI”), and Jubilant HollisterStier LLC, a limited liability company organized and existing under the laws of Delaware with a place of business at 3525 North Regal Street, Spokane, Washington, 99207 (“HSL”). LMI and HSL are referred to herein individually as a “Party” and collectively as the “Parties”.

This Manufacturing and Service Contract for Commercial Products (hereinafter this “Agreement”) is entered into as of March 20, 2012 (the “Effective Date”), by Ben Venue Laboratories, Inc., a corporation organized and existing under the laws of Delaware, with its principal office at 300 Northfield Road, Bedford, Ohio, 44146 (hereinafter “BVL” and as further defined in Article I) and Lantheus Medical Imaging, Inc., a corporation organized and existing under the laws of Delaware, with its principal place of business at 331 Treble Cove Road, North Billerica, MA 01862 (hereinafter “Customer”). THIS SETTLEMENT AND MUTUAL RELEASE AGREEMENT (“Settlement Agreement”) is entered into as of the date of signature of the last signatory to the Settlement Agreement (the “Signing Date”), and effective upon the date of receipt of the Settlement Payment (as defined below) (the “Effective Date”), by and between Ben Venue Laboratories, Inc. (“BVL”), and Lantheus Medical Imaging, Inc. (“LMI”). BVL and LMI are collectively referred to as the “Parties” or in the singular as a “Party.”
