THIS FIRST AMENDED AND RESTATED OPERATING AGREEMENT OF ENLINK MIDSTREAM, LLC, dated as of [·], 2014, is entered into by EnLink Midstream Manager, LLC, a Delaware limited liability company, as the Managing Member, and any other Persons who become Members in the Company or parties hereto as provided herein.
