Antero Midstream Partners LP, a Delaware limited partnership (the “Partnership”), proposes to sell [ · ] common units (the “Firm Units”) representing limited partner interests in the Partnership (the “Common Units”) to the underwriters (the “Underwriters”) named in Schedule I attached to this agreement (this “Agreement”).
