THIS TAX MATTERS AGREEMENT (this “Agreement”), dated as of [·], 2015, is by and among Nabors Industries Ltd., a Bermuda exempted company (“Navy”), and Nabors Red Lion Limited, a Bermuda exempted company (“Red Lion”).
