This EMPLOYEE MATTERS AGREEMENT, dated as of [·], 2016 (this “Agreement”), is by and between CIT Group Inc., a Delaware corporation (“CIT”), and C2 Aviation Capital, Inc., a Delaware corporation (“C2”).
