This Asset Purchase Agreement (this “Agreement”), dated as of November 1, 2017, is entered into between FAMOUS DAVE’S RIBS OF MARYLAND, INC., a Minnesota corporation, and FAMOUS DAVE’S RIBS, INC., a Minnesota corporation (collectively, “Seller”) and COMMONWEALTH BLUE RIBBON RESTAURANTS LLC, a Michigan limited liability company, and CAPITAL BLUE RIBBON RESTAURANTS LLC, a Michigan limited liability company (collectively, “Buyer”).
