This SEPARATION AND DISTRIBUTION AGREEMENT (this “Agreement”), dated as of May 24, 2019, is entered into by and between Fang Holdings Limited, a company organized under the Laws of the Cayman Islands (“ParentCo”), and China Index Holdings Limited, a company organized under the Laws of the Cayman Islands (“SpinCo”) (each a “Party” and collectively, the “Parties”). Capitalized terms used herein and not otherwise defined shall have the respective meanings assigned to them in Article I.

THIS WARRANT AND THE SECURITIES ISSUABLE UPON EXERCISE OF THIS WARRANT ARE SUBJECT TO RESTRICTIONS ON TRANSFERABILITY AND RESALE AND MAY NOT BE TRANSFERRED OR RESOLD EXCEPT AS PERMITTED UNDER THE SECURITIES ACT AND OTHER APPLICABLE SECURITIES LAWS, PURSUANT TO REGISTRATION OR EXEMPTION THEREFROM.
