THIS ASSET ACQUISITION AGREEMENT (this “Agreement”) is made and entered into as of February 28, 2019, by and between Timber Pharmaceuticals LLC, a Delaware limited liability company (“Timber”), Patagonia Pharmaceuticals LLC, a New Jersey limited liability company (“Seller”), Jonathan Rome (“J Rome”) and Zachary Rome (“Z Rome”) (Seller, J Rome and Z Rome are hereinafter collectively referred to as “Seller Parties”).

This MANAGEMENT SERVICES AGREEMENT (this “Agreement”), dated as of January 1, 2020 (the “Effective Date”), is by and among TardiMed Sciences, LLC, a Connecticut limited liability company (the “Management Company”) and Timber Pharmaceuticals, LLC, a Delaware limited liability company (the “Company”). Capitalized terms used but not otherwise defined herein shall have the meanings set forth Section 9 of this Agreement.

This License Agreement (“Agreement”), effective as of July 5, 2019 (“Effective Date”), is by and between AFT Pharmaceuticals Limited, a New Zealand company number 873005 with a place of business at Level 1, 129 Hurstmere Road, Takapuna, Auckland, New Zealand 0622 (“AFT”), and Timber Pharmaceuticals LLC, a limited liability company organized and existing under the laws of Delaware with a place of business at 50 Tice Blvd., Suite A26, Woodcliff Lake, NJ 07677, USA (“Timber”). AFT and Timber are sometimes referred to herein individually as a “Party” and together as the “Parties”.

This Consulting Services Agreement (this “Agreement”) is made and entered into as of the 8th day of January, 2020 (“Effective Date”), by and between Timber Pharmaceuticals, LLC, located at 50 Tice Boulevard, Suite A26, Woodcliff Lake, NJ 07677 (“COMPANY”), and AT CONSULTING LLC (“CONSULTANT”) with an address at 40 East Shore Rd, Mountain Lakes, NJ 07046 and referred to collectively as the “Parties” or singly for either entity as the “Party”.
