WHEREAS, The Ravich Revocable Trust of 1989 (the "Ravich Revocable Trust") and Jess M. Ravich ("Ravich" and with the Ravich Revocable Trust, the "Reporting Persons"), individually or collectively, may be deemed to be a beneficial owner within the meaning of the Securities Exchange Act of 1934, as amended (the "Exchange Act"), for purposes of Section 13(d) of the Exchange Act of the Common Stock, $.001 par value (the "Common Stock"), of Trans World Gaming Corp. (the "Issuer"); and
