Each Borrower hereby ratifies and reaffirms all of its liabilities and obligations under the DIP Loan Documents and, in connection with each continuation of LIBOR Loan and each conversion of a Base Rate Loan into a LIBOR Loan, certifies that no Default or Event of Default exists on the date hereof.
