FOR VALUE RECEIVED, the undersigned, AMERIVEST PROPERTIES INC., a Maryland corporation (the "Borrower"), promises to pay, without offset or counterclaim, to the order Fleet National Bank (hereinafter, together with its successors in title and assigns, called the "Lender") at the head office of Fleet National Bank, as Agent (the "Agent") at 100 Federal Street, Boston, Massachusetts 02110, the principal sum of Forty-Two Million Dollars ($42,000,000.00) or, if less, the aggregate unpaid principal amount of all Loans made by the Lender to the Borrower pursuant to the Revolving Credit Agreement dated as of November 12, 2002 among the Lender, the Borrower, the other lending institutions named therein and the Agent (as amended from time to time, the "Credit Agreement"). Capitalized terms used herein and not otherwise defined herein shall have the meanings assigned to them in the Credit Agreement. FOR VALUE RECEIVED, the undersigned, AMERIVEST PROPERTIES INC., a Maryland corporation (the "Borrower"), promises to pay, without offset or counterclaim, to the order of Fleet National Bank (hereinafter, together with its successors in title and assigns, called the "Lender") at the head office of Fleet National Bank, as Agent (the "Agent") at 100 Federal Street, Boston, Massachusetts 02110, the principal sum of Five Million One Hundred Thousand Dollars ($5,100,000.00) or, if less, the aggregate unpaid principal amount of all Loans made by the Lender to the Borrower pursuant to the Term Loan Agreement dated as of February 6, 2003 among the Lender, the Borrower, the other lending institutions named therein and the Agent (as amended from time to time, the "Term Loan Agreement"). Capitalized terms used herein and not otherwise defined herein shall have the meanings assigned to them in the Term Loan Agreement.
