If there is any inconsistency between this Award Agreement and the Plan, the Plan controls. Capitalized terms used in this Award Agreement are defined in the Plan, unless defined herein. For purposes of this Award Agreement, "Employer" shall mean the Company and any Affiliate that employs you on the applicable date (to the extent that you are not directly employed by the Company).
