Westwater Resources, Inc., a Delaware corporation (the “Company”), hereby grants an option to purchase shares of its common stock, par value $0.001 (the “Common Stock”) to the individual named below. This option is granted to you as an inducement that is material to you entering into employment with the Company pursuant to the inducement grant exception under Nasdaq Listing Rule 5635(c), and not pursuant to the Company’s 2013 Omnibus Incentive Plan (as amended, the “Plan”), or any other equity plan incentive plan of the Company. Although this option is not granted pursuant to the Plan, the option shall be subject to and governed by, and shall be construed and administered in accordance with, the terms and conditions of the Plan (as from time to time in effect), which terms and conditions are incorporated herein by reference. The terms and conditions of the option are set forth in this cover sheet and in the attachment (collectively, the “Agreement”) and in the Plan.
