This Amendment No. 1 to Note (this “Amendment”), dated as of July 30, 2015, is entered into by and between PDI, Inc., a Delaware Corporation (“PDI”) and Redpath Equityholder Representative, LLC, a Delaware limited liability company (“Payee”).
