REGISTRATION RIGHTS AGREEMENT (this "Agreement"), dated as of December 16, 2005, by and between HEPALIFE TECHNOLOGIES, INC., a Florida corporation, (the "Company"), and FUSION CAPITAL FUND II, LLC (together with it permitted assigns, the “Buyer”).
