THIS ACCOUNTING AGENCY AGREEMENT is made as of March 12, 2001 and amended and restated as of August 4, 2003, by and among, severally and not jointly, BROWN BROTHERS HARRIMAN & CO., a limited partnership organized under the laws of the State of New York (the "BBH"), BBH FUND, INC., BBH TRUST, and BBH U.S. MONEY MARKET PORTFOLIO on behalf of each of their series (each a "Fund" and collectively the "Funds").
