THIS PURCHASE AND SALE AGREEMENT (this “Agreement”) is made and entered into as of the 20th day of January, 2010 (the “Effective Date”), by and between (i) 1331 L Street LLC, a Delaware limited liability company (sometimes referred to as “Seller” or “Ground Lessee”), and (ii) 1331 L Street Holdings, LLC, a Delaware limited liability company (“Purchaser”).
