This Term Loan Credit Agreement, dated as of April 1, 2008 is made among Idaho Power Company, an Idaho corporation, the Lenders, and JPMorgan Chase Bank, N.A., as Administrative Agent for the Lenders. In consideration of the mutual provisions, covenants and agreements herein contained, the parties hereto hereby agree as follows:
