THIS AMENDED AND RESTATED LIMITED LIABILITY COMPANY AGREEMENT shall govern the business and operations of T3 Therapeutics, LLC, a Delaware limited liability company (the "COMPANY") and is entered into effective as of November 16, 2005 by and among the Members and Managers signatory hereto and identified on Schedule I hereto.
