INVESTMENT MANAGEMENT AND ADMINISTRATION CONTRACT Contract made as of April 1, 2006 between MANAGED HIGH YIELD PLUS FUND INC., a Maryland corporation (Fund), and UBS GLOBAL ASSET MANAGEMENT (AMERICAS) INC.
