(SNOCONE SYSTEMS INC.), a Nevada corporation ("Parent"), PHARB ACQUISITION CORP., a Delaware corporation and wholly owned subsidiary of Parent ("Merger Sub"), PHARB UNIVERSITY BRAND, INC., a Delaware corporation (the "Company") and MARK DE MATTEI (the “Major Stockholder”).
