This PURCHASE AGREEMENT is made and entered into as of September __, 2007, by and among Mistral Ventures, Inc. (“Parent”), a Nevada corporation, Cypheredge Technologies, Inc. (the “Company”), a Delaware corporation, all of the holders of the Company’s capital stock (the “Company Capital Stock”) (each such holder being hereinafter referred to as a “Holder” and all of such holders being hereinafter collectively referred to as the “Holders”), James Linkous (the “Company Indemnifying Officer”) and John Xinos (the “Parent Indemnifying Officer”).
