THIS SECURITY AGREEMENT (the “Agreement”), is entered into and made effective as of June 24, 2008, by and between Fox Petroleum, Inc. a Nevada corporation, with headquarters located at 64 Knightsbridge, London, SW1X7JF (the “Company”), and Trafalgar Capital Specialized Investment Fund, Luxembourg (the “Secured Party”). Capitalized words which are otherwise undefined in this Agreement shall have the same definition as in the Securities Purchase Agreement entered into by the parties hereto on the date hereof.
