We understand that Crosshair Exploration & Mining Corp. (the “Corporation”) proposes to issue and sell: (i) 8,000,000 units of the Corporation (the “Units”); and (ii) 3,575,000 common shares of the Corporation to be issued as “flow-through” shares (the “Flow-Through Shares”) within the meaning of the Tax Act (as hereinafter defined). Upon and subject to the terms and conditions contained herein, Canaccord Capital Corporation (“Canaccord”) and Thomas Weisel Partners Canada Inc. (collectively, the “Underwriters” and each individually an “Underwriter”) hereby severally offer to purchase from the Corporation in the respective percentages set forth in section 21 hereof, and the Corporation hereby agrees to sell to the Underwriters, on a “bought deal” basis, all but not less than all of the Units at a price of $1.25 per Unit (the “Unit Issue Price”) for gross proceeds of $10,000,000 and agree to act as agents to arrange for substituted purchasers for the Units resident in the Qualifying Prov
