THIS AGREEMENT dated as of the 25th day of August, 2005, as amended on the 29th day of October, 2008 between Medicure Inc. (the “Corporation”), a corporation incorporated under the Canada Business Corporations Act, and Computershare Trust Company of Canada, a trust company incorporated under the laws of Canada, as Rights Agent (the “Rights Agent”), which term shall include any successor Rights Agent hereunder.
