THIS IS TO CERTIFY THAT, for value received, Herbert Zimmer (the “Holder”), of Am Romerhof 6, 50858 Cologne, Germany, is entitled to subscribe for and purchase up to 5,714,289 fully paid and non-assessable shares of common stock (the “Warrant Shares”) of EuroGas, Inc., (the “Company”) at a purchase price per Warrant Share of US $0.05 (the “Exercise Price”), exercisable until 4:00 p.m. (Salt Lake City time) on March 31, 2010, subject to the provisions and upon the terms and conditions hereinafter set forth.
