This AGREEMENT AND PLAN OF MERGER (hereinafter called this “Agreement”), dated as of August 1, 2013, is entered into between China Advanced Construction Materials Group, Inc., a Delaware corporation (the “Company”) and China Advanced Construction Materials Group, Inc., a Nevada corporation and a wholly owned subsidiary of the Company (“Merger Sub”). The Company and Merger Sub are sometimes together referred to herein as the “Constituent Entities.”
