This REGISTRATION RIGHTS AGREEMENT (the “Agreement”), dated as of October 30, 2013 (the “Execution Date”), is entered into by and between Liberty Star Uranium & Metals Corp., a Nevada corporation with its principal executive office at 5610 E Sutler Lane, Tucson, Arizona 85712 (the “Company”), and KVM Capital Partners LLC, a New York limited liability company (the “Investor”), with its principal executive officers at 25315 60th Avenue, Suite 200, Little Neck, NY 11362.
