one (1) common share of the Issuer (the "Share"); and one share purchase warrant (each whole warrant, a "Warrant"). Each Warrant entitles the holder thereof to acquire one (1) common share (a "Warrant Share") of the Issuer at a price of US$0.10 per Warrant Share until the date that is three years from the date of Closing of this Subscription Agreement (the "Expiry Date"), subject to acceleration as set out in Section 2.2 of Appendix A.
