WHEREAS the Corporation and the Rights Agent (as successor to CIBC Mellon Trust Company) are parties to a shareholder rights plan agreement dated as of February 3, 2009 (the “Original SRP Agreement”), as amended and restated as of March 29, 2018 (the “Amended and Restated Rights Plan Agreement”) pursuant to which the Corporation adopted a shareholder rights plan (the “Rights Plan”);
