This RESTRICTED STOCK AWARD AGREEMENT (the "Agreement") is made this 13th day of June, 2017, by and between Contact Gold Corp., a Nevada corporation (the "Company") and Vance Spalding, an individual resident of Elko, Nevada, USA ("Participant").
