This Joint Venture Agreement (“Agreement”) is entered into this 6th day of May, 2019 (the “Effective Date”), by and between Orgenesis, Inc., incorporated in Nevada, USA, 20271 Goldenrod Lane, Germantown, MD 20876, USA (“Orgenesis”) and KinerjaPay Corp., incorporated in Delaware, (“KinerjaPay”). Orgenesis and KinerjaPay may each be referred to herein as a “Party,” and collectively as the “Parties.”

Flagler Drive, Ste. 600, West Palm Beach, FL 33401 (“First Choice”). Orgenesis and First Choice may each be referred to herein as a “Party,” and collectively as the “Parties.”
