The undersigned (the "Subscriber") hereby irrevocably subscribes for and agrees to purchase from The Alkaline Water Company Inc. (the "Issuer") that number of subscription receipts of the Issuer (each, a "Subscription Receipt") set out below at a price of $0.45 per Subscription Receipt. Each Subscription Receipt will automatically convert into one unit of the Issuer (each, a "Unit") in the event of the occurrence of the Escrow Release Condition (as defined herein). Each Unit is comprised of one common share in the capital of the Issuer (each, a "Share") and one common share purchase warrant (each, a "Warrant"). Each Warrant will entitle the holder thereof to acquire one Share (each, a "Warrant Share") at a price of $0.55 per Warrant Share until 5:00 p.m. (Vancouver time) on the date of expiration of the Warrant, which is three (3) years following the Closing Date, subject to the Acceleration Provision (as defined herein).
