Stifel Nicolaus Canada Inc. (the "Lead Underwriter" or "Stifel GMP"), as lead underwriter and sole bookrunner, together with BMO Nesbitt Burns Inc., Canaccord Genuity Corp. and PI Financial Corp. (collectively with the Lead Underwriter, the "Underwriters"), hereby severally, and not jointly, nor jointly and severally, in their respective percentages set out in Section 10 below, offer to purchase from HIVE Blockchain Technologies Ltd. (the "Corporation") and the Corporation hereby agrees to issue and sell, on an underwritten private placement basis, to the Underwriters, 16,670,000 special warrants (each, a "Special Warrant" and, collectively, the "Special Warrants") at a price of $6.00 per Special Warrant (the "Issue Price") for gross proceeds to the Corporation of approximately $100,020,000 (the "Offering").
