THIS MEMORANDUM OF FIRST AMENDMENT TO OPTION AGREEMENT ("Memorandum") dated as of the 8th day of September 2022, by and among HOMESTAKE MINING COMPANY OF CALIFORNIA, a California corporation and LAC Minerals (USA) LLC, a Delaware limited liability company (collectively, "Optionors"), DTRC LLC (formerly known as Dakota Territory Resources Corp.), a Nevada limited liability company ("Optionee"), and Dakota Gold Corp., a Nevada corporation ("Dakota Gold").
