This Subscription Agreement (this "Agreement") is made between Live Stream Technology Services Inc., a company incorporated in Delaware (the "Company").and the investor executing this Agreement (the "Investor"). Pursuant to this Agreement, and subject to its terms and conditions, Company agrees to sell to the Investor, and the Investor agrees to purchase, that certain number of shares (the "Shares") of the Class B non-voting common stock of Company specified below pursuant to a Tier 2 offering (the "Offering") for total gross proceeds of up to $75,000,000.
