This Share Purchase Agreement (this "Agreement"), dated as of June 4, 2024 is entered into between LIFEIST WELLNESS INC., a British Columbia corporation (the "Vendor") and FLORA GROWTH CORP., an Ontario corporation (the "Purchaser").
