AGREEMENT made as of the 9th day of January, 2006 by and among Sun Capital Advisers LLC, a Delaware limited liability company (the "Investment Adviser"), Sun Capital Advisers Trust, a Delaware statutory trust (the "Trust"), on behalf of its series, SC Oppenheimer Main Street Small Cap Fund (the "Fund"), and OppenheimerFunds, Inc., a Colorado corporation (the "Subadviser").

THIS SERVICING AGREEMENT, dated this 15th day of February, 2005, by and between Clarendon Insurance Agency, Inc., a Massachusetts corporation (the "Underwriter") and Sun Life Assurance Company of Canada (U.S.) (the "Company").
