This Agreement is made pursuant to the Purchase Agreement dated March 14, 2007, by and among the Company and the Initial Purchasers (the “Purchase Agreement”), which provides for the sale by the Company to the Initial Purchasers of $500,000,000 principal amount of its 5.90% Notes due 2017 (the “Securities”). The Securities are to be issued under an indenture, dated as of June 1, 1987 (the “Base Indenture”), as supplemented and amended by (i) the First Supplemental Indenture thereto dated as of September 30, 1997 (the “First Supplemental Indenture”), (ii) the Second Supplemental Indenture thereto dated as of February 13, 2001 (the “Second Supplemental Indenture”) and (iii) the Third Supplemental Indenture thereto dated as of the Closing Date (as defined herein) (the “Third Supplemental Indenture”) between the Company and The Bank of New York Trust Company, N.A., as Trustee.
