THIS VOTING AGREEMENT dated as of October 4, 2006 (this “Agreement”), is by and among CORGI INTERNATIONAL LIMITED, a corporation organized under the laws of Hong Kong (“Parent”), MASTER REPLICAS INC., a Delaware corporation (the “Company”), LIGHTSABER ACQUISITION CORP., a Delaware corporation and a wholly-owned subsidiary of Parent (“MergerSub”), and the holder of Parent’s American Depository Shares listed on the signature page to this Agreement (the “Shareholder”). Capitalized terms used in this Agreement, except as otherwise defined in this Agreement, shall have the meanings assigned to them in the Merger Agreement (defined below).
