This Election Form is being delivered in connection with the Agreement and Plan of Merger, as amended (the “Merger Agreement”), by and among The Bancshares, Inc. (“TBI”), Community Bank Shares of Indiana, Inc. (“Community”) and CBIN Subsidiary, Inc. (“CBIN Subsidiary”), whereby TBI will merge (the “Merger”) with and into Community’s wholly-owned subsidiary, CBIN Subsidiary, which will be the surviving corporation.
