This Election Form is being delivered in connection with the Agreement and Plan of Merger, as amended (the “Merger Agreement”), by and among Citizens National Bancshares, Inc. (“Citizens”), Farmers Capital Bank Corporation (“Farmers Capital”) and FCBC Acquisition Subsidiary, LLC (successor by assignment to FCBC Subsidiary, Inc.) (“FCBC Acquisition”), whereby Citizens will merge (the “Merger”) with and into Farmers Capital’s wholly-owned subsidiary, FCBC Acquisition, which will be the surviving corporation.
